WordPress Plugin & Theme Agreement

This WordPress Plugin & Theme Agreement (“Agreement”) applies to all WordPress websites designed, developed, maintained, or hosted by MIDI Web Design.
By using our services, you agree to the terms below.
This Agreement is incorporated into:
- Terms of Service (TOS)
- Website Design Terms (WD‑TOS)
- Web Hosting Terms (WHTOS)
- Acceptable Use Policy (AUP)
- Billing Policy
1. General Overview
WordPress websites rely on third‑party plugins and themes created by independent developers.
MIDI Web Design does not own, control, or guarantee the performance, security, or longevity of any plugin or theme.
This Agreement clarifies:
- licensing
- updates
- compatibility
- security
- client responsibilities
- limitations of liability
2. Licensing of Plugins & Themes
2.1 Third‑Party Ownership
All plugins and themes are owned by their respective developers. MIDI Web Design does not claim ownership of any third‑party software.
2.2 License Requirements
Many plugins and themes require paid licenses for:
- updates
- support
- premium features
Clients are responsible for purchasing and renewing their own licenses unless otherwise stated.
2.3 Agency Licenses (If Provided)
If MIDI Web Design installs a plugin or theme under an agency license:
- It is valid only while the client remains hosted with us
- It cannot be transferred to another host
- It cannot be shared or resold
- It may be revoked at any time if the developer changes licensing terms
- If the client leaves our hosting, they must purchase their own license
2.4 License Expiry
If a license expires:
- updates may stop
- features may stop working
- security vulnerabilities may arise
- the plugin or theme may become incompatible
MIDI Web Design is not responsible for issues caused by expired licenses.
3. Updates & Compatibility
3.1 No Guarantee of Compatibility
WordPress updates, plugin updates, and theme updates may cause:
- layout issues
- broken functionality
- plugin conflicts
- theme conflicts
- website downtime
MIDI Web Design cannot guarantee compatibility between any plugin, theme, or WordPress version.
3.2 Update Responsibility
Unless the client has a maintenance plan, plugin and theme updates are the client’s responsibility.
3.3 Update‑Related Breakage
If an update causes issues:
- troubleshooting is billable
- rollback attempts are billable
- repairs are billable
3.4 Abandoned Plugins & Themes
If a plugin or theme is no longer supported by its developer, we may:
- remove it
- replace it
- disable it
- recommend alternatives
This is necessary for security and stability.
4. Security & Liability
4.1 No Guarantee of Security
Plugins and themes may contain vulnerabilities. MIDI Web Design is not responsible for:
- hacking
- malware
- data loss
- unauthorized access
- compromised accounts
- plugin‑related security breaches
4.2 Client Security Responsibilities
Clients must:
- use strong passwords
- keep their software updated
- renew plugin/theme licenses
- avoid installing untrusted plugins
- avoid nulled or pirated plugins/themes
4.3 Prohibited Plugins
We may block or remove plugins that:
- pose security risks
- violate our AUP
- consume excessive resources
- are known to be harmful
- are abandoned or unsupported
5. Client Responsibilities
Clients agree to:
- provide valid license keys for any plugins/themes they own
- renew licenses on time
- not install unlicensed or pirated software
- not install plugins/themes that violate our AUP
- not install plugins/themes that compromise server performance
- notify us before installing major plugins
Failure to comply may result in suspension or termination of hosting services.
6. Maintenance & Support
6.1 Included Support
Basic plugin/theme installation during a design project is included.
6.2 Not Included (Billable)
The following are billable unless covered by a maintenance plan:
- troubleshooting plugin/theme issues
- fixing update‑related breakage
- resolving plugin conflicts
- resolving theme conflicts
- repairing hacked sites
- replacing abandoned plugins/themes
6.3 Maintenance Plans
Clients may purchase a maintenance plan for:
- updates
- monitoring
- security hardening
- backups
- priority support
7. Limitation of Liability
To the fullest extent permitted by law, MIDI Web Design is not liable for:
- plugin or theme failures
- plugin or theme bugs
- plugin or theme security vulnerabilities
- plugin or theme incompatibility
- plugin or theme abandonment
- update‑related breakage
- downtime caused by plugins/themes
- data loss caused by plugins/themes
Our total liability is limited to the amount paid for the specific service.
8. Indemnification
Clients agree to indemnify and hold MIDI Web Design harmless from any claims arising from:
- client‑installed plugins or themes
- unlicensed or pirated software
- illegal or harmful plugins
- plugin‑related security breaches
- plugin‑related data loss
9. Governing Law
This Agreement is governed by the laws of Canada and the Province of Ontario.

Resources such as CPU and memory can be scaled as needed, and the hosting environment is monitored and maintained for stability and performance.

Websites built by MIDI Web Design can expand with new pages, service sections, booking tools, e‑commerce, blog content, and SEO landing pages. The platform supports long term growth without requiring a full redesign.
◈ Ownership and Access
Clients retain full access to their WordPress dashboard, hosting accounts, domain settings, email services, and all website assets.
◈ Service Availability
MIDI Web Design works with businesses across Toronto and the GTA, and with clients in other regions when needed. All work is performed in English.
◈ Website Compliance
MIDI Web Design includes essential website compliance pages such as Privacy Policy, Terms of Service, and basic consent notices. These documents outline how data is collected, stored, and used, helping ensure transparency and responsible operation. All compliance content is provided as general business documentation and is not legal advice.
